Advertising Agreement Terms and Conditions

	Please read the Terms & Conditions agreement on this page. The forwarding of an order is construed as an acceptance of all the rates and conditions under which advertising is at the time sold. Verbal agreements are not recognized. All advertising is subject to the publisher’s approval. The publisher reserves the right to reject advertising which is not in keeping with the publication’s standard. Advertiser is solely responsible for any legal liability arising out of or relating to (1) the Advertisement, (2) any claims or misrepresentations made via the Advertisement, and/or (3) any material to which users can link through the Advertisement. Advertiser represents and warrants that: (1) the material provided to Strategicdiversity.com is original, copyrighted material belonging to Advertiser, or that Advertiser has obtained any and all rights, permissions and licenses necessary for Strategicdiversity.com to use the material in the preparation of Advertiser's web pages and in any other printed matter prepared by Strategicdiversity.com in the normal course of business; (2) the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights, title or interests of any third party, including, but not limited to, copyright (whether in text, image, software code or music), patent, trademark, trade secret, or any other proprietary or property right; and (3) that the Advertisement will not contain material that includes false advertisements, unfair competition, defamatory material, invasions of privacy or rights of celebrity, or violations of any anti-discrimination law or regulation. Advertiser agrees to indemnify and hold Strategicdiversity.com, its assigns, employees, and heirs, harmless from any and all liability, loss, damages, claims, or causes of action, and/or third party claims, arising out of or related to Advertiser's breach of any of the foregoing representations and warranties, including reasonable legal fees and expenses. When necessary to effectuate the intent of this paragraph, the Advertiser agrees to request that Strategicdiversity.com be listed as an additional insured on any policy issued to Advertiser under which there is coverage for any of the forms of legal liability described in this paragraph. The publisher’s liability for any error will not exceed the charge for the advertisement in question. The publisher assumes no liability if for any reason it becomes necessary to omit an advertisement. In all disputes between the advertiser and the publisher concerning the contents of the advertisement the publisher shall have the right to amend the advertisement in any way it may, in its discretion, see fit. Strategicdiversity.com is not liable for delays in delivery and/or non-delivery in the event of an Act of God, action by any governmental or quasi-governmental entity, fire, flood insurrection, riot, explosion, embargo, strikes whether legal or illegal, labor or material shortage, transportation interruption of any kind, work slowdown, or any condition beyond the control of Strategicdiversity.com affecting production or delivery in any manner. The advertiser shall be responsible for the accuracy and completeness of the information contained in their advertisements. The advertiser agrees to indemnify StrategicDiversity.com for any loss, cost, liability, and expenses that StrategicDiversity.com may incur as the result of any claim, suit, or proceeding against StrategicDiversity.com based upon their advertisement in StrategicDiversity.com. StrategicDiversity.com reserves the right to reject any advertising for failure to meet the standards of propriety. Strategicdiversity.com makes no guarantee on any level of traffic at any given time. Strategicdiversity.com shall not be held liable for any claims as they relate to published or unpublished usage statistics. StrategicDiversity.com is not required to provide advertisers with usage statistics. No refunds will be made based on levels of traffic or usage levels. Strategicdiversity.com will only accept a cancellation on space ordered, for example, a career fair participation, in writing 14 days before the event’s published start date. Cancellations must be received in writing before the event’s published start. No cancellations after space closing allowed. Strategicdiversity.com will make every effort to stop displaying Advertiser's web pages immediately upon receipt of such notice. The Advertiser agrees that by cancelling the Agreement, it forfeits all fees paid in advance. No refunds will be made under any circumstances after the start of the event date. This contract becomes effective upon receipt of the order form whether received electronically or via regular mail. Submission of this electronic order form will constitute a binding contract. The advertiser agrees to pay at the rates and under the conditions shown in the rate information as published on this site either in the form of a rate card or other printed presentation of advertising rates and programs. Submission of the electronic order form provided by this website constitutes an electronic signature. By sending this insertion order, Advertiser represents that he/she has read and agrees to such standard terms and program details. By sending this insertion order, Advertiser warrants that it has the full right, power, and authority to enter into this Agreement and to make all of the grants, promises, and covenants herein contained. By sending this insertion order, Advertiser acknowledges that it has read all of the Terms and Conditions and fully intends and agrees to be bound thereby.
